Terms of Use for Enterprise Suite ™ CRM – Cloud platform

These Terms of Use (“Terms”) govern your use of the Enterprise Suite ™ CRM – Cloud platform, including the CRM platform, dashboards, human resources, sales, support tickets, finance, project management tools, and any related hosted services (collectively, the “Services”), provided by Enterprise Suite (Pty) Ltd (“Enterprise Suite™”, “we”, “us”, or “our”), located at 107 Olympus Office Park, Pretoria, Gauteng, South Africa. By accessing or using our cloud platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.


Note: Use of the on‑premise (self‑hosted) version of Enterprise Suite ™ CRM is governed by a separate “Enterprise Suite ™ CRM – On‑Premise Terms of Use” agreement, which will be provided at the time of on‑premise deployment.


1. Acceptance and Party

These Terms form a binding agreement between you (either an individual or the entity you represent, “you” or “your”) and Enterprise Suite (Pty) Ltd.

Use of the Cloud Services signifies your acceptance of these Terms and, where applicable, any additional service‑specific terms or subscription schedules.


2. Eligibility

You must be at least 18 years old and capable of entering a binding contract under South African law.

If you are using the Services on behalf of a business or organisation, you represent that you have the authority to bind that entity to these Terms.


3. Accounts and Access

  • You are responsible for creating accurate account information and keeping it up to date.
  • You must keep your login credentials secure and are fully responsible for all activity under your account.
  • Notify us immediately at support@enterprisesuite.co.za if you suspect unauthorised access or misuse.

4. Permitted Use – Cloud Services

You may use the Cloud Services for lawful business purposes such as:

  • Managing sales pipelines, leads, and deals.
  • Tracking tasks, projects, and timesheets.
  • Administering HR functions (employees, leaves, shift rosters, attendance, designations, departments, and appreciation).
  • Handling finance workflows (proposals, quotations, invoices, payments, credit notes, expenses, bank accounts), and generating reports.
  • Handling Support ticket workflows (Queries, requests, complaints, suggestions)

You MUST NOT:

  • Upload malware, spam, or harmful code.
  • Reverse‑engineer or decompile the software, APIs, or underlying systems.
  • Interfere with other users’ dashboards, HR records, or finance modules or any services.
  • Use the Cloud Services in violation of POPIA, GDPR, or other applicable data‑protection laws.


5. Intellectual Property Rights

  • All software, dashboards, reports, interfaces, documentation, and visual designs in the Cloud solution are owned by Enterprise Suite (Pty) Ltd or its licensors.
  • You do not acquire any rights to our source code (including the front-end and backend), APIs, or brand elements except the limited license granted under these Terms.
  • You may not resell, sublicense, or commercially exploit the Cloud Services without our prior written consent.


6. User Data and Content

  • You retain ownership of the data you input into the CRM (e.g., leads, client records, employee details, task logs, invoice data, and report outputs).
  • By using the Cloud Services, you grant Enterprise Suite (Pty) Ltd a worldwide, non‑exclusive, royalty‑free, sublicensable licence to:
  • Host, store, transmit, and process your data.
  • Analyse and display it within dashboards, reports, and management tools.


You represent that:

  • You have the right to share such data with us.
  • Your data does not violate any third‑party rights or applicable laws.
  • You will indemnify us against any claims arising from your data or misuse of the Services.


7. Subscriptions, Fees, and Billing – Cloud

  • Subscription plans for the Cloud solution (e.g., Basic, Pro, Scale, Enterprise) are as described on our Pricing page and may include usage limits for users, records, or API calls.
  • You agree to pay all fees for your chosen Cloud plan, including applicable taxes (e.g., VAT).
  • If you exceed plan limits, you may be required to upgrade or face restrictions until the issue is resolved.


8. Payfast as Payment Gateway

  • Enterprise Suite (Pty) Ltd uses Payfast (or such other payment processor indicated at checkout) as our authorised payment gateway for subscription fees and related charges for the Cloud solution.
  • By providing payment details, you authorise Enterprise Suite (Pty) Ltd (via Payfast) to:
  • Charge the selected Cloud plan’s fees to your card or bank account.
  • Process recurring payments for renewals, as per your subscription preferences (monthly or annually).

You are responsible for:

  • Maintaining sufficient funds or credit.
  • Ensuring the accuracy of your payment information.
  • Any fees or charges imposed by your bank or card issuer.

Enterprise Suite (Pty) Ltd is not liable for:

  • Payment processing errors caused by Payfast or your financial institution.
  • Failed transactions due to expired or incorrect card details or insufficient funds.


9. Data, Privacy, and Security – Cloud

  • Data handling in the Cloud solution is governed by our Privacy Policy, which explains how we collect, use, store, and protect your and your customers’ personal information in compliance with POPIA and other applicable laws.
  • We implement reasonable technical and organisational measures to protect data, but cannot guarantee absolute security against breaches or unauthorised access.


10. API and Integrations

  • Enterprise Suite (Pty) Ltd may provide APIs or integration tools to connect the Cloud Services with third‑party applications (e.g., email services, telephony, accounting systems).
  • You are responsible for:
  • Ensuring that integrations are performed by technically competent personnel.
  • Complying with the terms of service of any third‑party application.

Enterprise Suite (Pty) Ltd is not liable for:

  • Data loss or corruption caused by errors in custom integrations.
  • Accessing or using undocumented or “unexposed” API features.


11. Usage Limits and Acceptable Use – Cloud

  • Enterprise Suite (Pty) Ltd may impose fair‑use limits on the Cloud solution for:
  • Number of active users.
  • Number of records, API calls, or reports per month.
  • Email or notification volume from the platform.


If you exceed these limits, we may:

  • Restrict certain activities.
  • Require you to upgrade your Cloud plan.
  • Temporarily suspend Cloud access until compliance is restored.


12. Disclaimers and Limitation of Liability

  • The Cloud Services are provided “as‑is” and “as‑available”, without warranties of any kind, either express or implied.
  • To the maximum extent permitted by law, Enterprise Suite (Pty) Ltd disclaims all warranties, including but not limited to:
  • Accuracy of data, forecasts, or reports.
  • Uninterrupted, error‑free, or secure access.
  • Fitness for a particular purpose.

Under no circumstances will Enterprise Suite (Pty) Ltd be liable for:

  • Indirect, incidental, consequential, or punitive damages.
  • Loss of profits, data, or business opportunities.
  • Our total liability for any claim arising from these Terms is limited to:
  • The total fees paid by you in the twelve (12) months preceding the claim.


13. Term and Termination – Cloud

  • These Terms remain in effect for as long as you use the Cloud Services or maintain an active Cloud subscription.
  • Enterprise Suite (Pty) Ltd may terminate or suspend your Cloud access if:
  • You breach these Terms or fail to pay fees.
  • Your use poses a security or legal risk.
  • You abuse the platform or violate POPIA or other laws.


Upon termination:

  • Your right to access the Cloud Services ends immediately.
  • You may export or download your data within thirty (30) days, after which we may delete it in accordance with our data‑retention policy.


14. Modifications to These Terms

  • Enterprise Suite (Pty) Ltd reserves the right to modify these Terms at any time for the Cloud solution.
  • Material changes will be communicated by:
  • A notice within the CRM dashboard.
  • A prominent announcement on our website or via email to your primary contact address.

Your continued use of the Cloud Services after the effective date of any such changes constitutes your acceptance of the modified Terms.


15. Governing Law and Dispute Resolution

  • These Terms are governed by the laws of the Republic of South Africa.
  • Any disputes arising from or related to these Terms shall be submitted to the courts in Pretoria, Gauteng, unless otherwise required by law.
  • Alternatively, you and Enterprise Suite (Pty) Ltd may agree to resolve disputes through arbitration in accordance with the rules of the Association of Arbitrators (Southern Africa), if both parties consent.


16. Miscellaneous

  • Severability: If any provision of these Terms is found to be invalid or unenforce menorified, the remaining provisions remain valid.
  • No waiver: Our failure to enforce any right under these Terms does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our prior written consent. Enterprise Suite (Pty) Ltd may assign these Terms to a successor or affiliate.
